Who Owns Revolut

Revolut is a British FinTech company established in 2015 by Nikolay Storonsky and Vladyslav Yatsenko. Revolut was initially offering payment accounts and cards to retail customers in the UK, but has been extending its product range into foreign exchange, stock, crypto and commodities trading and insurance. After obtaining a specialized bank licence in Lithuania, Revolut started offering loans and deposits. Since 2017, Revolut has been serving business customers. In 2019 Revolut started its expansion outside Europe and launched its products in Australia and Singapore, and in 2020 - in the United States and Japan.

Unlike its rival Wise (formerly TransferWise) which went public in July 2021 on the London Stock Exchange, Revolut remains privately-owned. Currently Revolut has more than 1000 shareholders, with corporate investors having around 75,00% shares and private investors - 25,00%.

In Summer 2022 Revolut registered branches of Revolut Bank UAB in Germany, France, Hungary and the Netherlands.

According to the British Companies House, Revolut Group Holdings has six different ordinary share classes: Ordinary, Ordinary D, Ordinary E, Ordinary F, Ordinary G, Ordinary H.All these share classes have the same nominal value (0,0000001 GBP), but differ in terms of:

Voting. On a show of hands, every eligible shareholder has one vote; on a poll every eligible shareholder has one vote per eligible share.
Dividends. All eligible shares are ranked equally and the devidends are paid according to the number of shares.
Distribution. On a return of capital, on a liquidation, reduction on capital or otherwise, the surplus of assets shall be distributed among the shareholders as follows:

  1. holders of G and H shares
  2. holders of deferred shares

Sale. In the event of a sale, the net sale proceeds shall be distributed among:
  1. holders of ordinary F shares
  2. holders of ordinary D/E shares
  3. holders of ordinary shares, vested in-the-money H shares
